We hope you and your pets feel at home at the Homelove Health, Inc. ("Homelove") website www.homelove.com (the "Site"). Please carefully read these Terms of Service (the "Terms") and our Privacy Policy (www.homelove.com/privacy) ("Privacy Policy"). Our Terms and Privacy Policy govern your use of our Site, our mobile phone texting & scheduling service, and our at-home service booking technology and at-home pet care services and at-home veterinary medical services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by all of the terms and conditions described in these Terms. If you do not agree to all of these terms and conditions, you must discontinue use of the Services immediately.Homelove reserves the right to update these Terms at any time, at its sole discretion. Any modifications will be reflected in the "Last Updated" date above or communicated through other means. Continued use of the Services after any changes are posted constitutes acceptance of the updated Terms. If you disagree with any modifications, you must discontinue use of the Services immediately. Homelove may also modify or discontinue any part of the Services at any time without prior notice.

‍1. Services
‍Homelove provides a technology platform that allows pet owners to schedule home visits for general, non-medical pet care, and veterinary practices to order routine veterinary medical services for their clients ordered by and under the indirect supervision of a Veterinarian with an established Veterinary Client Patient Relationship ("VCPR"). Our Services facilitate the connection between pet owners and veterinary professionals to enable at-home pet care services and at-home veterinary medical services.

‍2. Veterinary Disclaimer
‍Homelove's Services do not include diagnosing conditions, making prognoses, prescribing medications, or performing surgery. The Services and any Content on our Site are not to be substituted for the competent analysis and professional judgment of a trained and licensed Veterinarian.Use of the Services is not for urgent or emergency veterinary cases. In the event of a veterinary emergency or urgent veterinary care needs, please contact your nearest Veterinarian immediately.

‍3. Service Eligibility
(A) Eligibility for Pet Owners
‍To use the Services as a pet owner, you must be at least 18 years old and capable of entering into a legally binding agreement with Homelove. By accessing or using the Services, you confirm that you meet these requirements and are not prohibited from using the Services under any applicable laws.
‍(B) Eligibility for Veterinary Practices
‍To use the Services as a veterinary practice, you must be a legally registered and licensed veterinary practice operating in compliance with all applicable veterinary laws and regulations. Veterinarians ordering Services for a pet must have an established Veterinary Client Patient Relationship ("VCPR") as required by law and ensure that all veterinary services facilitated through the Homelove platform are ordered and supervised by a licensed Veterinarian. By using the Services, you understand that all veterinary medical care services completed will be performed as per your written direction and under your indirect supervision as a licensed Veterinarian with an established VCPR. You further represent and warrant that your practice is in good standing with all relevant regulatory bodies, and that you will comply with all applicable professional, ethical, and legal obligations.By utilizing the Services, you authorize Homelove employees or representatives to visit your veterinary practice from time to time to coordinate services, provide training and technical support, or facilitate logistics related to ordered services. Additionally, you authorize Homelove to submit ordered diagnostics to your preferred reference lab provider from your veterinary practice, and agree to equip Homelove with necessary materials to do so.

‍5. User Accounts
Some features of the Services may require account creation. You agree to provide accurate and current information and to maintain the security of your account credentials. You are solely responsible for any activities that occur under your account and must notify Homelove immediately of any unauthorized use.
‍(A) Veterinary Practices and Intellectual Property Rights
‍By creating an account as a veterinary practice, you grant Homelove a non-exclusive, royalty-free, worldwide license to use, reproduce, display, and distribute your practice's name, trademarks, logos, and branding materials solely for the purpose of providing and promoting the Services. This includes, but is not limited to, listing your practice on the Homelove platform, marketing materials, and other communications related to the Services. You represent and warrant that you have the authority to grant these rights and that such use will not infringe on any third-party rights.

‍6. Electronic Correspondence
‍Through your use of the Site, you consent to receive emails, texts, or other communications from us pertaining to the Services. By utilizing our Site or replying to our emails or texts in the course of utilizing the Services, you acknowledge that you are aware that email/text is not a secure method of communication, and that you agree to the risks.Standard message and data rates may apply for communications sent via SMS, email, or other electronic means. You are responsible for any fees charged by your mobile carrier or internet service provider related to these communications. Homelove is not liable for any delays, delivery failures, or other issues related to the receipt of electronic communications.

‍7. Payment and Billing
‍Certain aspects of the Services require payment. By electing to utilize a paid Service, you agree to the stated pricing and billing terms. Homelove reserves the right to modify pricing at any time. Payment obligations are non-cancelable and non-refundable unless explicitly stated otherwise.
‍(A) Stripe
‍Homelove uses the Stripe API to process payments through the Site. Payment processing services for our Site are provided by Stripe and are subject to its own user agreements and terms and conditions (as provided on the Stripe website). By agreeing to these terms or continuing to use the Site, you agree to be bound by the above referenced agreements, as amended by Stripe from time to time. As a condition of Homelove enabling payment process services through Stripe, you agree to provide us with accurate and complete information about you and your payment information, and you authorize us to share it and transaction information related to your use of the payment processing services provided by Stripe.You understand and agree not to hold Stripe liable for any adverse effect that applicable actions (whether intentional or unintentional) may cause to any other accounts you hold. You agree to not process stolen cards or unauthorized cards through your Stripe and/or your User Account.

‍8. Dispute Resolution & Arbitration Agreement
‍By agreeing to these Terms, you agree to resolve disputes with Homelove through binding, individual arbitration rather than litigation in court. Please review this section carefully. If you do not wish to accept arbitration, you must notify Homelove in writing within 30 days of your first use of the Services.

‍9. Limitation of Liability
‍To the fullest extent permitted by law, Homelove and its affiliates, officers, directors, employees, agents, and partners are not responsible for indirect, incidental, special, consequential, or punitive damages resulting from your use of the Services.

‍10. Prohibited Uses
‍Any commercial or promotional use, distribution, reproduction or other exploitation of the Site, or any Content, code, data, or materials on the Site, is strictly prohibited unless you have received express prior written permission from Homelove. Other than as expressly allowed in these Terms of Use, you may not download, post, display, publish, copy, reproduce, distribute, transmit, modify, perform, broadcast, transfer, create derivative works from, sell, or otherwise exploit any Content, code, data, or materials on or available through the Site. You further agree that you may not alter, edit, delete, remove, otherwise change the meaning or appearance of, or repurpose any of the Content, code, data, or other materials on or available through the Site, including, without limitation, the alteration or removal of any trademarks, trade names, logos, service marks, or any other proprietary content or proprietary rights notices. If you make other use of the Site, or the Site’s Content, code, data, or materials, except as otherwise provided above, you may violate copyright and other laws of the United States, other countries, as well as applicable state laws and may be subject to liability for such unauthorized use.You shall not: (i) engage in spidering, “screen scraping,” “database scraping,” harvesting of e-mail or other addresses, contact or personal information, or any other automatic means of obtaining lists of users or other information from or through the Site, including without limitation any information residing on any server or database connected to the Site; (ii) obtain or attempt to obtain unauthorized access to computer systems, materials, or information (i.e., hacking) through any means; (iii) use the Site in any manner with the intent to interrupt, damage, disable, overburden, or impair the Site, including, without limitation, sending mass unsolicited messages or “flooding” servers with requests; (iv) use the Site in violation of our or any third party’s intellectual property or other proprietary or legal rights; (v) insert your own or a third party’s advertising, branding, or other promotional content into any of the Site’s Content, materials, or services; or (vi) use the Site in violation of any applicable law. You further agree that you shall not attempt (or encourage or support anyone else’s attempt) to circumvent, reverse engineer, decrypt, or otherwise alter or interfere with the Site, or any content thereof, or make any unauthorized use thereof. You agree that you shall not use the Site in any manner that could damage, disable, overburden, or impair the Site or interfere with any other party’s use and enjoyment of the Site.

By using Homelove's Services, you acknowledge that you have read, understood, and agreed to these Terms of Service.
